Finance Committee

The Finance Committee shall be composed of the Chair of the Board, the Chancellor, the Rector and the Principal who shall be ex-officio members, and not more than 9 additional trustees of whom at least one must be a member of an internal constituency of the University.

Appointments shall be made by the Board of Trustees on the recommendation of the Governance and Nominating Committee for terms of 3 years with one-third, as near as may be, completing their terms on 31 May each year, but eligible for re-appointment normally to a maximum of 12 years of service.

A Chair and a Vice-Chair will be appointed by the Board.

The Secretary of the Board of Trustees shall ensure that a secretary is available to support the committee.

A majority of the Committee shall constitute a quorum.

The Committee shall meet as required.

The Committee shall report to the Board of Trustees at each meeting of the Board.

The Finance Committee shall:

Advise the Board of Trustees and the Principal on financial policy and planning, including financing of capital projects, salary scales, proposals to be presented to the Board and to the Governments of Ontario and Canada, and shall support the Board by all effective means in furthering such proposals;

Act in an advisory capacity to assist the Board of Trustees, and the Principal and his/her Officers in accordance with the foregoing and will not act as a decision-making body.

It shall be the duty of the Principal to see that the Committee is kept fully informed on all financial matters.
